Terms of Service — Keepsakes

Welcome to Keepsakes (“we,” “us,” or “our”). By creating an account, accessing, or using our service at keepsakes.online, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use Keepsakes.

1. Your Account

You must be at least 13 years old to use Keepsakes. You are responsible for maintaining the security of your account and password. We cannot and will not be liable for any loss or damage from your failure to maintain account security.

2. Your Content

You retain full ownership of all content you upload to Keepsakes, including photos, videos, audio, documents, and written stories (“your content”). By uploading content, you grant us a limited license to store, display, and transmit your content solely for the purpose of providing the Keepsakes service to you and the people you choose to share with.

You are responsible for the content you upload. You agree not to upload content that:

You do not have the right to share
Is illegal, harmful, threatening, abusive, or harassing
Infringes on any third party’s intellectual property rights
Contains malware or malicious code

3. Sharing and Privacy

You control who can see your keepsakes. Private keepsakes are only visible to you and the specific people you invite. Public keepsakes are accessible to anyone with the link or QR code. You are responsible for managing your sharing settings.

4. Storage Limits

Your account is subject to storage limits based on your plan. We reserve the right to modify storage limits with reasonable notice. If you exceed your plan’s limits, you may need to upgrade or remove content.

5. Subscriptions and Billing

Keepsakes offers free and paid subscription plans. By subscribing to a paid plan, you agree to the following:

Recurring billing: Paid subscriptions are billed automatically on a recurring basis (monthly or annually, depending on the plan you select) until you cancel. By subscribing, you authorize us to charge your payment method at the start of each billing cycle.
Price changes: We may change subscription prices with at least 30 days’ notice. Price changes take effect at the start of your next billing cycle. Your continued use after a price change constitutes acceptance of the new price.
Payment processing: All payments are processed securely by Stripe. We do not store your credit card number or payment details on our servers.

6. Cancellation, Downgrades, and Refunds

Cancellation: You may cancel your subscription at any time through the Billing page in your dashboard. When you cancel, your paid plan remains active until the end of your current billing period. After that, your account reverts to the free plan.
Downgrades: If your account exceeds the free plan’s limits after a downgrade (for example, you have more keepsakes or storage than the free plan allows), your existing content will be preserved and remain accessible. However, you will not be able to create new keepsakes or upload new files until your usage is within the free plan’s limits. We will never delete your content solely because you downgraded.
Data retention after cancellation: After your subscription ends, your data remains available for 90 days. During that time you can export your content or reactivate your plan. After 90 days, we permanently delete all your data from our servers.
Refunds: We do not offer refunds for partial billing periods. If you cancel mid-cycle, you retain access to your paid plan for the remainder of that cycle. If you believe you were charged in error, contact us at support@keepsakes.online and we will review your case.

7. Acceptable Use

You agree to use Keepsakes in good faith and not to:

Attempt to access other users’ accounts or data
Use the service for any illegal purpose
Interfere with or disrupt the service
Scrape, crawl, or use automated tools to access the service without permission
Use the service to send spam or unsolicited messages

8. Service Availability

We strive to keep Keepsakes available at all times, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the service at any time. We will make reasonable efforts to notify you of significant changes.

9. Termination

You may delete your account at any time. If you have an active subscription, cancellation and data retention terms in Section 6 apply. We may suspend or terminate your account if you violate these terms. Upon termination, your data will be deleted in accordance with our Privacy Policy.

10. Assumption of Risk

You use Keepsakes at your own risk. You are solely responsible for your content, your sharing decisions, and any consequences that arise from your use of the service. Keepsakes is a tool for preserving personal stories and is not a backup service, insurance provider, or legal custodian of your belongings.

11. Disclaimer of Warranties

Keepsakes is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that the service will be uninterrupted, timely, secure, error-free, or that any content will be preserved indefinitely. No advice or information obtained from Keepsakes shall create any warranty not expressly stated in these terms.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Keepsakes, its owners, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of data, loss of profits, loss of revenue, loss of content, personal injury, or property damage arising out of or in connection with your use of or inability to use Keepsakes, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you for all claims arising out of or relating to these terms or your use of Keepsakes exceed the lesser of (a) the total amount you have paid us in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Keepsakes, its owners, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of Keepsakes; (b) your content; (c) your violation of these terms; or (d) your violation of any rights of any third party.

14. Dispute Resolution

Any dispute arising out of or relating to these terms or the Keepsakes service shall be resolved through binding arbitration on an individual basis. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Keepsakes. If arbitration is not enforceable in your jurisdiction, you agree to submit to the exclusive jurisdiction of the courts in the state where Keepsakes is registered.

15. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of significant changes by posting a notice on our website. Your continued use of Keepsakes after changes are posted constitutes acceptance of the updated terms. If you do not agree to the revised terms, you must stop using the service.

16. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Keepsakes regarding your use of Keepsakes and supersede any prior agreements.

18. Governing Law

These terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
